Q.:? I started an LLC with two partners. After a year in business, I am choosing to take another path. I want to resign from the LLC and am attempting to separate my legal liabilities. We initially signed a three-year commercial lease with personal guaranties and currently have 23 months remaining. Is there a convincing argument I can bring to the property manager/owner to be removed from liability on this commercial lease?

Connecticut moves to abolish death penalty

(AP) ? After executing just one prisoner in more than 50 years, Connecticut moved Thursday to become the fifth state in five years to do away with the death penalty for good.

But the repeal wouldn't be a lifeline for the state's 11 death row inmates, including two men who killed a woman and two children in a horrifying home invasion supporters touted as a key reason to keep the law on the books. The state Senate debated for hours Thursday about whether the law would reverse those sentences before voting 20-16 to repeal the law.

After the state Senate's 20-16 Thursday vote to repeal the law, the heavily Democratic state House of Representatives is expected to follow with approval within weeks. Gov. Dannel P. Malloy, the first Democratic governor elected in two decades, has vowed to sign the same bill vetoed by his Republican predecessor.

The wealthy, liberal state is one of the last in the Northeast to have a death penalty law and would join New Mexico, Illinois, New Jersey and New York as the most recent to outlaw capital punishment. Repeal proposals are also pending in several other states including Kansas and Kentucky, while an initiative to end the death penalty goes before California voters in November.

Like Connecticut, states that have recently decided to abolish capital punishment were among those that in practice rarely executed inmates. New Jersey, for example, hasn't executed anyone in more than 40 years; Connecticut's death row population is more than seven times below the national average.

Death sentences and executions are also plummeting around the country as fewer prosecutors push capital punishment cases, often because of new laws that allow life with no possibility of parole as a sentencing option.

The possibility of executing the innocent, driven by the rise of DNA as a tool to exonerate wrongfully convicted defendants, is the biggest overall factor driving states to reconsider capital punishment, said Doug Berman, an Ohio State University law professor.

"That has the most profound and enduring resonance as an argument and one that can never be pushed back," Berman said.

The Senate debate Thursday focused on how the law could affect the state's 11 death row inmates, including the two men sentenced to death for the 2007 home invasion attack in the New Haven suburb of Cheshire. They include two men sentenced to death for killing a woman and her two daughters after tormenting the family for hours in the New Haven suburb of Cheshire. The lone survivor of the attack, Dr. William Petit, successfully lobbied state lawmakers to hold off on repeal last year when one of the killers was still facing trial.

"We believe in the death penalty because we believe it is really the only true, just punishment for certain heinous and depraved murders," Petit said Wednesday. "One thing you never hear the abolitionists talk about is the victims, almost never. The forgotten people. The people who died and can't be here to speak for themselves."

Connecticut would become the 17th state without a death penalty. Executions in the U.S. have declined from a high of 98 in 1999 to 43 last year, said Richard Dieter, executive director of the Death Penalty Information Center. The number of people sentenced to death each year has also dropped sharply, from 300 a decade ago to 78 last year, he said.

Dieter, a leading anti-death penalty advocate, attributed the states' decision to repeal to "the revelation of so many mistakes," wrongful convictions exposed by new DNA evidence. Executions have also been delayed in several states as supplies of the drugs used to put inmates to death have become scarce. States such as Ohio and Texas have limited supplies of pentobarbital, used in lethal injections, and have not said what they will do when those supplies run out.

One Connecticut state senator said the possibility that an innocent person could face execution weighed heavily on her conscience.

"I cannot stand the thought of being responsible for somebody being falsely accused and facing the death penalty," said Sen. Edith Prague, D-Columbia. "For me, this is a moral issue and realizing that mistakes are obviously made."

A Connecticut state Innocence Project that began reviewing cases in 2005 with new DNA technology has yielded several high-profile exonerations.

Kevin Ireland served 20 years in prison for the 1986 murder of a mother of four in Wallingford, but was freed in 2009 on the basis of DNA tests. Another man was sentenced last month to 60 years in prison for the killing. In another case, Miguel Roman served two decades behind bars for killing his pregnant teenage girlfriend in Hartford in1988, only to be freed in 2008 because of DNA evidence. Neither man had faced the death penalty.

Connecticut has carried out only one execution in 51 years, when serial killer Michael Ross was administered lethal injection in 2005 after giving up his appeal rights.

Judges, lawyers and victims' families have blamed foot-dragging by the courts and lawyers and the complexity of the appeal system for delays in executing others. Of the 11 men on Connecticut's death row, three have been awaiting execution for more than two decades and two others have been on death row for at least 12 years. By comparison, the average time between conviction and execution in Texas is 10 1/2 years.

Thursday's vote occurred after a debate that lasted more than 10 hours and focused largely on whether death row inmates like Joshua Komisarjevsky and Steven Hayes, convicted in the Cheshire home invasion, could be helped by the law. Critics said they were concerned attorneys would use the law change as grounds for throwing out the sentence in the future.

"For those who say we should execute those 11, but none going further, the only way to keep that promise, the only way to keep that promise, is to keep our death penalty law," said Senate Minority Leader John McKinney, R-Fairfield, who opposes the repeal.

Preserving the death sentence of those still on death row is fairly unusual, although a similar law took effect in New Mexico. The governor declined to commute the sentences of the state's two men on death row after the repeal was signed in 2009.

Activity in brain networks related to features of depression

ScienceDaily (Apr. 3, 2012) ? Depressed individuals with a tendency to ruminate on negative thoughts, i.e. to repeatedly think about particular negative thoughts or memories, show different patterns of brain network activation compared to healthy individuals, report scientists of a new study in Biological Psychiatry.

The risk for depression is increased in individuals with a tendency towards negative ruminations, but patterns of autobiographic memory also may be predictive of depression.

When asked to recall specific events, some individuals have a tendency to recall broader categories of events instead of specific events. This is termed overgeneral memory and, like those who tend to ruminate, these individuals also have a higher risk of developing depression.

These self-referential activities engage a network of brain regions called the default mode network, or DMN. Prior studies using imaging techniques have already shown that the DMN activates abnormally in individuals with depression, but the relationship between DMN activity and depressive ruminations was not clear.

In this new report, Dr. Shuqiao Yao of Central South University in Hunan, China and colleagues evaluated DMN functional connectivity in untreated young adults experiencing their first episode of major depression and healthy volunteers. Each participant underwent a brain scan and completed tests to measure their levels of rumination and overgeneral memory.

As expected, the depressed patients exhibited higher levels of rumination and overgeneral memory than did the control subjects. They also observed increased functional connectivity in the anterior medial cortex regions and decreased functional connectivity in the posterior medial cortex regions in depressed patients compared with control subjects.

Among the depressed subjects, an interesting pattern of dissociation emerged. The increased connectivity in anterior regions was positively associated with rumination, while the decreased connectivity in posterior regions was negatively associated with overgeneral memory.

Dr. Yao commented on the importance of these findings: "In the future, resting-state network activity in the brain will provide useful models for investigating network features of cognitive dysfunction in psychopathology."

"As we dig deeper in brain imaging studies, we are becoming increasingly interested in the activity of brain circuits rather than single brain regions," said Dr. John Krystal, Editor of Biological Psychiatry. "Although it is a more complicated process, studying brain circuits may provide greater insight into symptoms, such as depressive ruminations. The current study nicely illustrates how altered activity at different sites within a brain network may be related to different features of depression."

Should College Basketball Players Get Paid?

The University of Kentucky basketball team, which will play for the national title Monday night, has become a de facto appendage of the NBA. Coach John
Calipari recruits players who plan to turn pro a year or two after graduating from high school and makes no pretense of expecting them to graduate from
college.

Joe Nocera of the New York Times, contemplating prospects such as this, says it's time to just make it official: Let's call college basketball (and football) players pros and use some of the revenue from TV rights and merchandise licensing to pay them real salaries.

The most appealing thing about this idea is what it would put an end to: the spectacle of big-time college coaches making millions of dollars a year on the backs of players who don't get a piece of the action, many of whom come from low-income backgrounds and won't ever see the promised land of an NBA career. There's also something to be said for admitting that a vast commercial enterprise is a vast commercial enterprise.

But wouldn't honesty about the commercial enterprise cut into the commerce? Isn't part of the appeal of NCAA sports to TV viewers the perception of a kind of purity--the perception that these guys really are playing for the love of the game? And doesn't the student body's enthusiasm (which itself makes the sport more appealing to TV viewers) depend on there being some not-entirely-tenuous sense in which these players are part of the student body? Could you sustain that sense of connection if the star hoops player was pulling down $500,000 per year, living in an off-campus penthouse, and driving to practice in a BMW?

Nocera would make that last scenario uncommon by establishing both a minimum salary ($25,000) and a team salary cap ($650,000 for 13 basketball players, $3 million for 60 football players). If you do the math, you'll see that there wouldn't be huge amounts of money left for superstars.

But I don't see the logic of drawing the line there. I mean, so long as the income of players is artificially constrained by Nocera's rules, why can't they make the argument that Nocera says applies to their current situation--that they're not being given their fair share of the revenue generated by their talents?

To put it another way: Players are already getting tens of thousands of dollars worth of room and board and other services. Nocera considers this level of compensation to be tantamount to exploitation. OK, but how does another $25,000 or $50,000 get you magically past the exploitation point in cases where a player is contributing way more than that to the commercial value of the school's athletic program?

And another question: Why enforce a $25,000 minimum for even marginal players at schools that make little or no money off their basketball program to begin with? Nocera says this miminum salary could have the virtue of forcing "smaller schools to rethink their commitment to big-time athletics." Um, what if they don't want to rethink that commitment and don't like the idea of being, in effect, fined for not rethinking it?

The heart of Nocera's indictment of the NCAA is that by banning salaries for players it keeps market forces from doing their magic and appropriately compensating workers for value added. But the truth is that if you follow that logic to its conclusion, and give market forces free play, you'll wind up with a system where a few college players are making a ton of money and many are making little or none.

Maybe this prospect offends Nocera's sensibilities. In any event, he sidesteps it by positing artificial constraints on the market that have dubious side effects such as penalizing colleges that aren't maniacally devoted to sports but would still like to participate. What he hasn't done is convincingly show why his artificial constraints are, on the one hand, better than the current constraints and, on the other, better than no constraints at all.

In any event, it would be na?ve to expect that, once we unleash market forces, they'll wind up being regulated in accordance with Nocera's preferences. If we're going to step onto a slippery slope--and there may indeed be a case for doing that here--let's acknowledge its slipperiness.

PFT: Payton, Loomis appeals to be heard Tuesday

With the tea leaves continuing to point toward former Giants, Patriots, Jets, and Cowboys coach Bill Parcells coming out of retirement for a one-shot opportunity to win a walk-off Super Bowl and cement his Hall of Fame legacy, not much has been said about the in-house candidates for the interim head coaching job.

A league source tells PFT that the current Saints assistants who had been mentioned as potential replacements for coach Sean Payton (offensive coordinator Pete Carmichael Jr., offensive line coach Aaron Kromer, and defensive coordinator Steve Spagnuolo) aren?t happy with the possibility of an outsider like Parcells swooping in and taking the job.? Carmichael, 40, joined the Saints with Payton in 2006, and Carmichael ran the offense while Payton was relegated to the booth as he recovered from a broken leg.? Kromer, 44, arrived in 2008 and also is in charge of the running game.? Spagnuolo, 52, has three years experience as a head coach, and his Rams delivered one of the three regular-season losses endured last year by the Saints.

As the source explained it, the thinking is that Parcells would simply run the press conferences and decide whether to go for it on fourth down, with Carmichael in charge of the offense and Spagnuolo in charge of the defense.? If that?s all Parcells would be doing, why do the Saints need him?

The prevailing theory in league circles continues to be that Payton wants an outsider like Parcells because Parcells wouldn?t want to stay beyond 2012, and Payton already has publicly declared that he?ll be back in 2013.? If an in-house interim head coach enjoys a high level of success in 2012, owner Tom Benson may decide to make a change.? If the Saints win the Super Bowl at the Superdome, Benson may have no other choice but to promote the interim coach into Payton?s job.

The other side of this particular coin, however, is that an outsider may be necessary in order to prevent any friction between the assistant who gets bumped up and the other two who don?t.? Indeed, a cynic may say that the three names were leaked in order to set the stage for an outsider like Parcells to be the only viable solution.

Regardless, the process by all appearances will be moving toward a conclusion soon.? Unless the Saints plan to have no head coach when offseason workouts begin on April 16, Parcells or someone else will be getting the job within the next two weeks.

At the 25th annual Kids' Choice Awards, the slime runneth over.

Host Will Smith opened the 25th annual Kids' Choice Awards promising a record amount of the show's trademark green gunk. Though some 20 awards are presented at the KCAs, the real suspense isn't who will take home a "Blimp" (the show's Oscar), it's when and on whom the slime will spill.

It's like a baptism into kid-dome that can come at any moment: from a hidden bucket, dumped from the rafters or exploded from little orange blimps.

"No one is safe from the slime!" screamed Smith. "You have to earn the slime! It's an honor."

Halle Berry was the first to be covered, but she was far from alone. She was joined by "Twilight" star Taylor Lautner (who won favorite "buttkicker"), "Glee" star Chris Colfer and male singer winner Justin Bieber, who was utterly drenched along with Smith at the end of the show.

The KCAs are Nickelodeon's annual celebration for kids, and it's often the most-watched children's program of the year. They draw a considerable roster of stars looking to thank their smallest fans and cater to their youngest demographics.

"This is, like, the coolest award show ever," said "Twilight" star Kristen Stewart, accepting the award for favorite movie actress.

Smith, himself a 10-time Blimp winner, started the show with an elaborate, digitally-animated skydive from Nickelodeon's trademark blimp. Smith was then hoisted from the rafters to the stage of the Galen Center at the University of Southern California in Los Angeles, where thousands of glow-stick waving fans cheered him ? including first lady Michelle Obama.

Obama later presented "the big help" award for charity work to Taylor Swift. Upon receiving the award, the pop star said, "I am freaking out."

Nickelodeon introduces many kid-friendly quirks to the usual award show festivities. It rolls out an orange carpet, rather than a red one, and envelopes are the last way winners are announced. Saturday night's choices came by way of a sword eater, a statue impersonator and giant heads held aloft from the crowd.

Winners are chosen from voting online. Selena Gomez won for both favorite TV actress and female singer. Adam Sandler took home the award for favorite movie actor. And Katy Perry, shortly after performing, was given the award for favorite voice in an animated movie for "Smurfs."

"The only reason why I'm still here today ? and remember this ? is because I've never grown up!" Perry told the young audience.

More than 7.3 million watched last year's awards. This year, Nickelodeon badly needs the KCAs to continue such a success. In March, for the first time, the Disney Channel beat out Nickelodeon in average total daily viewers ? a title Nickelodeon had held every month since 1995.

Nickelodeon's own series "Victorious" won best TV show. Jake Short, star of the Disney Channel's "A.N.T. Farm," won best TV actor.

But the most ceremonious moment of the KCAs is the slimey finale. The honor ? which Smith said had been chosen by online votes ? went to Bieber, who made a surprise appearance late in the show. Smith clutched Bieber as fountains of slime poured out across the stage, while Obama ? splattered by a few drops ? danced in the seats.

Once again proving he's the one government representative who gets this whole technology thing, Sen. Al Franken D-Minn., called out Facebook and Google during a speech for American Bar Association's Antitrust Section.?

Franken, who chairs new Senate subcommittee on Privacy, Technology, and the Law, was there Thursday to call for greater enforcement of antitrust laws for all-encompassing tech and media companies, including mobile and cable services, as well as online services. Such Web corporations, he said, is "where privacy becomes an antitrust issue."

Last year, when it was revealed that iPhones and iPads were mapping user locations in accessible files for up to a year, Franken, D-Minn., got down to business, firing off pointed questions in a two-page open letter to Apple CEO Steve Jobs. ?Franken also joined other senators urging Facebook to "reverse a plan that would allow app developers the ability to request access to users? addresses, phone numbers and other contact information."

In his ABA speech, Franken noted how the more that "average Americans depend on Google and Facebook daily, "the less incentive (the companies) have to respect your privacy," he said. Both of these "free" services make the bulk of their money via user profiles, allowing third parties to target ads using the extensive personal information stored there. "You are not their client, you are their product," he said.

Institutions that "protect our individual privacy rights from the government don?t apply to the private sector," Franken said. "The Fourth Amendment doesn?t apply to corporations. The Freedom of Information Act doesn?t apply to Silicon Valley. And you can?t impeach Google if it breaks its 'Don?t be evil' campaign pledge."

?Franken pointed to Google's new privacy policy, which now covers all of the search giant's many services:?

If you don?t want your search results shared with other Google sites -- if you don?t want some kind of super-profile being created for you based on everything you search, every site you surf, and every video you watch on YouTube -- you will have to find a search engine that?s comparable to Google. Not easy.

If you want a free email service that doesn?t use your words to target ads to you, you?ll have to figure out how to port years and years of Gmail messages somewhere else, which is about as easy as developing your own free email service.

Franken had equally sharp words for Facebook:

If you use Facebook -- as I do -- Facebook in all likelihood has a unique digital file of your face, one that can be as accurate as a fingerprint and that can be used to identify you in a photo of a large crowd.

You might not like that Facebook shares your political opinions with Politico, but are you really going to delete all the photos, all the posts, all the connections -- the presence you?ve spent years establishing on the world?s dominant social network? ?The more dominant these companies become over the sectors in which they operate, the less incentive they have to respect your privacy.

"It isn't time for alarm bells just yet," Franken said. But wouldn?t we feel a lot more comfortable about that if we knew that market forces would act to stop such an egregious abuse of our privacy? And shouldn?t we be concerned that, as these companies that trade in your personal information keep getting bigger and bigger, they become less and less accountable?"
